Agreement

These Terms & Conditions govern your use of this website and the services supplied by PHOENIX Advanced IT Solutions CC ("PHOENIX", "we", "us"), a close corporation registered in Namibia. By using this website or ordering a service from us, you accept these terms. Where we have signed a separate written agreement or service level agreement with you, that agreement takes precedence over these terms to the extent of any conflict.

Quotations and Orders

• Quotations are valid for 30 days from the date of issue unless stated otherwise.
• Prices are quoted in Namibia Dollars (N$) and include VAT where indicated.
• An order becomes binding once you have accepted the quotation in writing and, where applicable, the agreed deposit has been received.

Payment

• Development work is normally invoiced with a deposit before work begins and the balance on completion.
• Hosting, domain and subscription services are invoiced in advance for the agreed period.
• Invoices are payable by the due date shown on the invoice. We may suspend a service that remains unpaid after written notice, and we may charge interest on overdue amounts at the rate permitted by law.

Your Responsibilities

You agree to:

• Provide the content, credentials and information we need to carry out the work, and to do so in good time
• Ensure that you own or are licensed to use any text, images, logos or other material you supply to us
• Keep your account credentials confidential and notify us of any suspected misuse
• Use our services lawfully — in particular not to send unsolicited bulk email, host illegal or infringing material, or attempt to breach the security of our systems or those of others

We may suspend or terminate a service that is used in breach of this clause.

Domains, Hosting and Third-Party Services

Domain names are registered subject to the rules of the relevant registry and are not owned by us. Authorising a renewal in good time remains your responsibility, and we cannot be held liable for a domain lost through non-payment or through a registry decision. Some services depend on third-party providers and are subject to their own terms, which we will pass on to you where relevant.

Availability and Support

We aim for high availability but do not warrant that any service will be uninterrupted or error free. Planned maintenance is announced in advance where practical. Support is provided during our normal business hours unless a separate service level agreement states otherwise.

Intellectual Property

The content, design and code of this website are owned by PHOENIX or its licensors and may not be copied or re-used without our written permission. On receipt of full payment you receive the right to use the deliverables we produced for you for the purpose for which they were commissioned. We retain ownership of our underlying tools, frameworks, libraries and re-usable components, and we may reference completed work in our portfolio unless you ask us in writing not to.

Fees, Refunds and Cancellation

All sales are final, as set out in our Refund Policy, which forms part of these terms. Either party may cancel a recurring service by giving written notice before the next renewal date. Fees already paid for the current period are not refunded.

Limitation of Liability

To the maximum extent permitted by Namibian law, our total liability arising out of or in connection with any service is limited to the amount you paid us for that service in the twelve months preceding the claim. We are not liable for indirect or consequential loss, including loss of profit, business, data or goodwill. Nothing in these terms excludes or limits liability that cannot lawfully be excluded.

Data Protection

Personal information provided to us is handled in accordance with our Privacy Policy, which forms part of these terms.

Governing Law

These terms are governed by the laws of the Republic of Namibia, and the courts of Namibia shall have jurisdiction over any dispute. Both parties will attempt to resolve any dispute amicably before taking formal legal steps.
